On September 1, 2021, the Company held its Annual Meeting of Shareholders for fiscal 2021 (“2021 Annual Meeting”). Of the 45,146,408 shares of the Company's common stock outstanding and entitled to vote at the 2021 Annual Meeting, 40,597,291 shares, or 89.92 percent, which constituted a quorum, were represented at the 2021 Annual Meeting.
